The Parties
This Non-Disclosure Agreement (the "Agreement") is entered into as of July 7, 2026 (the "Effective Date") by and between:
Peakfinity Labs LLC, a company incorporated under the laws of the United States of America, with its principal place of business at 252 Welsh Pool Rd, Exton, PA 19341, United States, acting through its Managing Member Mr. Rahul Ukani, who is duly authorized in this regard (hereinafter referred to as "AGENT"); and
________________________, with its principal business address at ________________________, acting through ________________________, who is duly authorized in this regard (hereinafter referred to as the "Company").
The AGENT and the Company shall jointly or collectively be referred to as the "Parties".
1. Purpose
The Parties intend to share certain confidential and proprietary information related to the manufacturing and trading of products. This Agreement is intended to prevent the unauthorized disclosure and use of such information.
2. Confidential Information
For purposes of this Agreement, "Confidential Information" shall include all written, electronic, or oral information disclosed by either Party, including but not limited to business plans, product specifications, formulations, pricing, trade secrets, technical data, customer information, and other sensitive information.
3. Obligations of Receiving Party
The receiving Party agrees to:
• Maintain the confidentiality of the disclosed information;
• Use the information solely for the purpose stated in this Agreement;
• Not disclose the information to any third party without the prior written consent of the disclosing Party;
• Take reasonable measures to protect the confidentiality of the information, no less rigorous than those used to protect its own confidential information.
4. Term
Unless terminated earlier by mutual written consent, this Agreement shall remain in effect for a period of six (6) months from the Effective Date. The confidentiality obligations of the Parties shall survive the termination or expiration of this Agreement.
5. Indemnity
Each Party agrees to indemnify and hold harmless the other Party from any claims, losses, or damages arising out of breach of this Agreement or unauthorized use of Confidential Information.
6. Binding Effect
This Agreement shall be binding upon and inure to the benefit of the Parties and their respective successors, assigns, and legal representatives.
7. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the United States of America. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in the State of Pennsylvania.
8. Miscellaneous
This Agreement constitutes the entire understanding between the Parties with respect to its subject matter and supersedes all prior discussions, negotiations, or agreements. Any amendments must be made in writing and signed by both Parties. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
